Paid Social Advertising - Terms & Conditions

1. Parties

This Agreement is entered into between Nimble Media Ltd (referred to as “the Agency”, “we”, “our”) and the individual or organisation accepting this estimate (referred to as “the Client”, “you”, “your”).

2. Scope of Services

Nimble Media Ltd agrees to provide full-service Meta Ads campaign delivery and management. This includes strategic planning, ad copywriting, visual creative production, audience targeting, and continuous optimisation. Campaign setup will include the development of custom-built landing pages or Facebook lead forms, based on what is most effective for your campaign goals. We will also handle CRM integration, pixel tracking, and performance monitoring. Lead delivery will be carried out either via email, through direct integration with your CRM, or by providing you access to a dedicated Go High Level (GHL) sub-account managed by Nimble Media. All campaigns will be subject to ongoing optimisation and testing to ensure best performance. We may test multiple creatives, headlines, and calls to action throughout the campaign period to refine outcomes.

3. Go High Level Sub-Account

Where a GHL sub-account is provided, Nimble Media Ltd will manage its setup, maintenance, and automation workflows. This sub-account will be used to capture and manage leads, automate follow-ups, and streamline reporting. Access will be granted to the client for visibility and internal use. Any domain names purchased by Nimble Media Ltd for the purposes of building campaign funnels within the sub-account remain the property of Nimble Media Ltd unless explicitly transferred by written agreement. Domain transfers may be arranged upon request and may incur an additional fee. If you choose to terminate paid advertising services with Nimble Media Ltd, access to the sub-account will be revoked unless an alternative arrangement has been agreed.

4. Campaign Timeline & Process

On receipt of payment, onboarding begins with a strategic planning call to define your campaign goals, key performance indicators, targeting preferences, and service areas. We will also coordinate access to your Meta Ads account and request brand assets such as imagery, logos, and existing content. During the first week, we will create the ad copy and visuals, build the required landing pages or forms, configure your CRM or sub-account preferences, and set up tracking systems including the Meta Pixel. In the second week, we conduct internal quality assurance, followed by a client approval session to review assets and finalise the launch. Once the campaign is live, we enter a hyper-care period with close monitoring and real-time adjustments. From that point forward, your campaign will be managed through weekly optimisation and monthly performance reporting. Where appropriate, we will scale performance by adjusting budgets, refreshing creatives, or testing new offers. Please note, timelines may vary depending on the speed of your approvals, content delivery, and Meta account access.

5. Payment Terms

Full payment is required upfront and must be received before any work commences. The agreed campaign duration and services covered will be outlined during the onboarding call. Unless stated otherwise, prices exclude VAT. Work will not begin until payment has cleared.

6. Ad Spend

All advertising spend must be paid directly by you through your Meta Ads account. You are solely responsible for maintaining a valid payment method within Meta. Nimble Media Ltd does not invoice for or process ad spend and will not be liable for any disruption caused by card failures or insufficient funds.

7. Intellectual Property & Domains

All creative content, advertising copy, landing pages, automations, and designs produced by Nimble Media Ltd during the campaign remain the intellectual property of Nimble Media Ltd unless otherwise agreed in writing. You may not repurpose these materials outside of the agreed campaign scope without written permission. If we purchase a domain for campaign purposes, ownership remains with Nimble Media Ltd unless you request and pay for its transfer. Any transfer of domain ownership must be agreed in writing and will be subject to additional costs.

8. Performance Disclaimer

We guarantee a minimum of ten (10) qualified leads per month, defined as submissions through the chosen lead capture method (form, landing page, etc.). However, we cannot and do not guarantee sales, bookings, or return on investment. Campaign success is affected by factors beyond our control, including market demand, service pricing, brand perception, internal lead follow-up, and seasonality. While we make every effort to optimise campaigns, the final results will depend partly on your internal processes and conversion strategies.

9. Data Protection & GDPR Compliance

Both parties agree to comply with all applicable data protection laws, including the General Data Protection Regulation (GDPR). Any personal data collected through your campaigns will be handled securely and in accordance with lawful data processing principles. As the data controller, you are responsible for how leads are handled once received. Nimble Media Ltd acts as a data processor only in the context of campaign setup and delivery. We will not share lead data with third parties or use it for any purposes outside the scope of this agreement. All lead information is confidential and will be stored and transmitted using secure, encrypted platforms.

10. Platform & Policy Compliance

We will ensure all advertising campaigns adhere to the current Meta Ads policies and guidelines. However, you acknowledge that approval of ads is subject to Meta's discretion and is outside of our control. If Meta disapproves an ad or restricts account activity, we will provide alternative creative recommendations or support with appeals. You are responsible for ensuring your business activities and offers comply with advertising laws, industry regulations, and any professional or medical advertising standards applicable to your services.

11. Confidentiality

Both parties agree to keep all proprietary, sensitive, or commercially confidential information private. This includes, but is not limited to, campaign strategies, pricing, data, internal processes, business plans, and performance metrics. This obligation continues even after the termination of the agreement.

12. Termination & Early Exit

This agreement is non-refundable once work has begun. If you choose to cancel your campaign early, you must provide 14 days’ written notice. In such cases, a £1,000 + VAT early termination fee will be payable to cover setup, labour, and opportunity costs. Any unused advertising spend allocated to Meta will remain your responsibility and will not be refunded by Nimble Media Ltd.

13. Limitation of Liability

Nimble Media Ltd’s liability for any claim arising under this agreement shall be limited to the amount you have paid for services in the 30 days prior to the claim. We are not liable for indirect or consequential damages including, but not limited to, loss of income, business interruption, or missed appointments resulting from campaign activity or technical issues.

14. Legal Jurisdiction

This Agreement shall be governed by the laws of England and Wales. Any legal disputes or claims arising in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Exclusivity

Nimble Media Ltd does not provide geographic exclusivity for its paid advertising services unless explicitly agreed in writing. By default, we reserve the right to manage advertising campaigns for multiple clients operating in the same city, town, or local area. If you require exclusivity within a specific location, this must be agreed upon in advance via email or written contract and may be subject to additional fees or limitations.
